Financial Gravity

Client Central Terms of Service

Effective date: October 12, 2026 • Version: 1.0

These Terms of Service (“Terms”) govern Client Central, operated by Financial Gravity Companies, Inc. (“Financial Gravity,” “we,” “us,” or “our”). “You” means the individual accepting these Terms. If you accept on behalf of an account owner, that owner is bound only if you have authority to enter this agreement for that owner.

By checking “I agree” or otherwise affirmatively accepting these Terms, you enter into this agreement. If you do not agree, do not activate or use Client Central; contact Client Success about other ways to obtain your account information.

PLEASE READ SECTION 13. IT PROVIDES FOR BINDING INDIVIDUAL ARBITRATION THROUGH THE AMERICAN ARBITRATION ASSOCIATION, SUBJECT TO THE EXCEPTIONS STATED THERE. ARBITRATION REPLACES A COURT TRIAL, INCLUDING A JURY TRIAL, FOR COVERED DISPUTES, AND JUDICIAL REVIEW IS LIMITED.

1. Purpose and existing agreements

1.1 Client Central provides authorized access to financial information, documents, planning summaries, and communications. Your advisory, custodial, insurance, and other financial-service agreements remain in effect and govern the services they cover. Financial Gravity Asset Management, Inc., Financial Gravity Family Office Services, LLC, or another identified provider may furnish services under those separate agreements. Accepting these Terms does not create a new advisory engagement, transfer investment discretion, authorize transactions, or replace an existing financial-service agreement.

1.2 A separate agreement controls a conflict concerning the services or disputes it governs. These Terms govern portal use and portal-specific disputes not governed by that agreement. The mere display of advisory or custodial information here does not move an underlying dispute into the portal arbitration clause. Nothing in these Terms waives a nonwaivable right, remedy, fiduciary duty, or obligation under applicable law.

2. Eligibility and authorized access

2.1 You must be at least 18 and legally able to enter this agreement, or be an adult authorized representative acting for an account owner. Give accurate registration information and keep it current. You may access only the accounts and information for which we have granted you access and you have legal authority. Household membership, shared contact details, or possession of a device does not by itself authorize access to another person's information.

2.2 We may verify identity and representative authority, request updated documentation, and limit access when authority is uncertain or changes. Tell us promptly when your contact information or authority changes. These Terms do not themselves establish a power of attorney, trusteeship, or other representative authority.

3. Account security and recovery

3.1 Use your own credentials, protect your devices and verification codes, and sign out on shared devices. Do not share credentials or allow another person to use your account. Contact clientsuccess@financialgravity.com promptly if you suspect compromise, receive an unexpected account-change notice, or see information that does not belong to you. Do not send passwords or verification codes to support personnel.

3.2 We may require additional authentication, temporarily restrict access, or verify your identity before changing a phone number or restoring access. We do not treat possession of a new phone number alone as sufficient proof of identity. Your security responsibilities do not make you automatically responsible for every unauthorized act or relieve us or your financial-service provider of applicable duties.

4. License and acceptable use

4.1 We grant you a limited, nonexclusive, nontransferable right to use Client Central for your authorized financial-service relationship while these Terms apply. You may download or print materials made available to you for your records and share them with authorized professional advisors, subject to applicable confidentiality and third-party rights.

4.2 Do not bypass security or access controls; impersonate another person; upload malicious code or unlawful material; scrape or extract data through unauthorized automated means; interfere with operations; sell or sublicense access; remove proprietary notices; or copy, modify, or reverse engineer the software except as applicable law permits. Do not use portal information for another person's marketing or other unrelated commercial purposes. Report suspected vulnerabilities to Client Success without exploiting them or accessing additional client information.

5. Financial information and decisions

5.1 Values, returns, positions, risk scores, tax information, and planning results reflect available information, dates, assumptions, and included accounts. They may be delayed, estimated, incomplete, unaudited, or corrected. Some assets or accounts may be included in portfolio value but excluded from performance calculations. Review the scope, dates, and disclosures displayed with each result.

5.2 Official custodian and product-provider records control over inconsistent portal summaries; notify us and the relevant provider of discrepancies. Portal tax estimates are not tax forms and should not be used to prepare a tax return. Hypothetical planning results and past performance do not guarantee future results. Investing involves risk, including loss of principal.

5.3 A dashboard status or automated summary does not, by itself, establish that an investment or withdrawal is appropriate for your current circumstances. Discuss material decisions and changed circumstances with your advisor. These explanations do not disclaim responsibility for advice actually provided or reduce duties under your advisory agreement or law.

6. Communications and electronic records

6.1 Use the established channels designated by your advisor or custodian for trade instructions, transfers, withdrawals, beneficiary changes, or urgent requests. Do not submit those instructions through verification texts or replies to automated notices. A portal display, upload, or acknowledgment alone does not establish that an instruction was accepted or executed.

6.2 We may provide portal-related notices through Client Central or your registered email, subject to applicable delivery requirements. Keep your contact details current and retain copies of important records. Acceptance of these Terms is not a substitute for any separate consent required to deliver regulated disclosures, statements, or other records electronically. Existing electronic-delivery elections and withdrawal rights remain governed by the applicable agreement and law.

7. Your information and intellectual property

7.1 You retain your rights in information and documents you provide. You authorize us and our authorized service providers to host, copy, transmit, and otherwise process them only as reasonably necessary to provide, secure, support, and administer Client Central and meet legal obligations, as described in the Client Central Privacy Policy and applicable institutional privacy notices. This is a limited operational authorization, not a transfer of ownership. It does not restrict other lawful uses, including affiliate marketing, described in the applicable privacy notices and subject to required consents and privacy elections.

7.2 Provide information you are authorized to share and take reasonable care that it is accurate. Financial Gravity and its licensors retain their rights in the software, design, branding, and other proprietary materials. Third-party materials remain subject to their owners' rights. No license is granted beyond the uses expressly permitted here or by applicable law.

8. Privacy and service providers

8.1 The Client Central Privacy Policy and applicable institutional privacy notices explain the handling of personal information. These Terms do not replace required privacy notices, expand lawful sharing permissions, or waive privacy rights.

8.2 We may use affiliates and third parties for hosting, authentication, data integration, communications, support, and other operational functions. Providers acting on our behalf must be subject to written protections addressing confidentiality, permitted use, security, incident reporting, and appropriate return or deletion. They may process information only for the contracted services and lawful instructions, not for their own unrelated advertising or sale. Any further providers used for that processing must be subject to appropriate approval controls and materially equivalent protections. Outsourcing does not relieve us of our legal or contractual obligations. The separate Service Providers and Subprocessors Addendum identifies providers and their functions; a listing does not expand permitted processing or replace required provider contracts. An independent custodian or other financial-service provider may process information under its own agreement and legal obligations rather than solely on our behalf. Merely linking to an external service does not incorporate its terms into these Terms; any separate agreement must be presented as applicable.

9. Verification text messages

9.1 When you provide your mobile number and affirmatively agree to receive verification texts, you consent to automated, one-time Client Central sign-in verification codes from Financial Gravity Companies, Inc. at that number. You represent that you are authorized to use the number and agree to notify us when it changes. This enrollment covers verification messages only, not marketing texts or unrelated alerts. Frequency varies with sign-in activity. Message and data rates may apply.

9.2 Reply STOP to cancel verification texts or contact clientsuccess@financialgravity.com to withdraw consent. Reply HELP for assistance, or email that address. We honor applicable withdrawal requests, including other reasonable requests where required by law. You may receive one non-promotional message confirming cancellation. Re-enrollment requires a new affirmative opt-in.

9.3 SMS is required for the SMS sign-in method. If you opt out or cannot receive texts, you may be unable to use that method; contact Client Success about access to your account information. Opting out does not terminate your advisory relationship or affect rights under existing agreements. Do not send financial instructions or sensitive account information by replying to verification texts.

9.4 Delivery depends on carriers and service providers and may be delayed or unavailable. Carriers are not liable for delayed or undelivered messages. We do not sell or share mobile numbers collected for the verification program or SMS opt-in or consent records with third parties or affiliates for their marketing or promotional purposes. This restriction does not prohibit otherwise lawful marketing based on information independently collected for that purpose, subject to applicable consent and opt-out requirements. Authorized providers may process this information only as needed to operate and support the verification program, subject to confidentiality and use restrictions. See the Client Central Privacy Policy.

10. Availability and service changes

10.1 We may add, modify, replace, or discontinue portal features and perform maintenance. Continuous availability, uninterrupted delivery, and real-time data are not guaranteed. We may act immediately to address security risks, legal requirements, or material operational problems. When reasonably practicable, we will notify you of a material service discontinuation and provide information about obtaining your records through established channels.

10.2 We will disclose and obtain agreement to any new portal charge before imposing it; existing advisory, custodial, carrier, or other third-party charges remain governed by their applicable terms. Service changes do not amend your financial-service agreements or excuse duties imposed by law. No statement here guarantees an investment result or eliminates a remedy for our failure to perform a legal or contractual obligation.

11. Suspension and termination

11.1 You may stop using Client Central or request account deactivation through Client Success. We may suspend or terminate access for a material violation, suspected unauthorized activity, loss of authority, termination of the supporting service relationship, legal requirements, or discontinuation of the portal. We may act without advance notice where reasonably necessary to protect clients, systems, or legal compliance; otherwise, we will give notice and a reasonable opportunity to address a remediable violation.

11.2 Ending portal access does not close a financial account, terminate an advisory agreement, erase an accrued claim, or automatically require deletion of regulated records. Contact your advisor or custodian for account services. We retain or delete information as described in the Client Central Privacy Policy and applicable institutional privacy notices. Provisions concerning existing agreements, ownership, permitted retention, accrued obligations, dispute resolution, and nonwaivable rights survive as needed to give them effect.

12. Our right to amend these Terms

12.1 We may unilaterally amend these Terms in our discretion, subject to this section. We will post the revised version and effective date. For material changes, we will also give notice through your registered email or a prominent portal notice at least 30 days before effectiveness. Nonmaterial clarifications may take effect upon posting; changes required by law or reasonably necessary to address an urgent security threat may take effect sooner, with notice as soon as reasonably practicable.

12.2 Continued portal use after the stated effective date constitutes acceptance to the extent permitted by law. We will obtain affirmative acceptance where legally required. If you do not accept a change, stop using the portal and contact Client Success about other access to your account information. An amendment applies only to conduct and portal use after its effective date; it does not retroactively alter rights or obligations arising from earlier conduct or modify a separate financial-service agreement. A change does not authorize a materially different use of previously collected information without the notice or consent required by applicable law.

12.3 Arbitration changes are subject to stricter limits: no amendment or termination of Section 13 applies to a dispute based on facts occurring before the change becomes effective or a dispute of which either party already has notice. Every change to Section 13 requires at least 30 days' advance notice, with no urgent-change exception. The prior version continues to govern those disputes, and neither party may avoid an existing obligation to arbitrate through amendment or termination. These limits also apply to any change to this paragraph.

13. Arbitration and dispute resolution

13.1 Covered disputes and governing procedure

13.1.1 You and Financial Gravity mutually agree to resolve disputes arising out of or relating to these Terms or your use of Client Central by binding arbitration administered by the American Arbitration Association (“AAA”), except as expressly provided below. This includes contractual, statutory, and tort claims concerning the portal, subject to Section 1. A claim concerning investment advice, recommendations, fiduciary duties, account management, or other services governed by a separate agreement remains governed by that agreement and applicable law, even if Client Central content or use is relevant evidence. This section does not require arbitration of a claim that applicable law makes nonarbitrable.

13.1.2 The Federal Arbitration Act governs this arbitration agreement and its enforcement. The AAA Consumer Arbitration Rules apply when AAA classifies the matter as a consumer dispute; otherwise, the AAA Commercial Arbitration Rules apply. Applicable AAA supplementary rules also apply where required. Current rules and filing instructions are available at https://www.adr.org. One neutral arbitrator will be selected under those rules. If mandatory AAA consumer protections conflict with these Terms, those protections control.

13.2 Texas location and access

13.2.1 The agreed legal place of arbitration is Texas. An in-person hearing will be held at a mutually agreed location in Texas, subject to mandatory law and the AAA's consumer fairness and locale requirements. If those requirements call for a reasonably convenient location outside Texas, they control. Remote or documents-only proceedings may be used as permitted by the applicable rules. The Texas designation does not require a consumer to travel contrary to those protections.

13.3 Fees and costs

13.3.1 Each party will bear its own attorneys' fees, expert fees, and other costs of presenting its case, except to the extent applicable law or mandatory AAA rules require otherwise or authorize an award that these Terms may not lawfully restrict. This allocation does not waive a protected statutory right to recover fees or costs.

13.3.2 AAA filing, administrative, hearing, and arbitrator fees will be allocated under the applicable AAA rules and fee schedule. For consumer disputes, Financial Gravity will pay the amounts those rules assign to the business; the consumer will pay no more than the permitted consumer share, subject to available waivers. Neither party will seek reallocation contrary to mandatory law or AAA requirements.

13.4 Individual proceedings and available relief

13.4.1 To the extent permitted by law, covered disputes will proceed individually, not as a class, collective, or representative action. The arbitrator may award the relief available for an individual claim under applicable law, including damages, injunctive or declaratory relief, and recoverable fees. This provision does not prohibit coordinated case administration required by applicable AAA rules, restrict cooperation with regulators, or waive a right to seek public injunctive relief that cannot lawfully be waived.

13.4.2 A court, rather than an arbitrator, will decide disputes about the formation or enforceability of this arbitration agreement or the enforceability of the class or representative-action restriction. Other questions of arbitrability will be decided as provided by the applicable AAA rules. The arbitrator will issue a written, reasoned award, and judgment may be entered in any court having jurisdiction.

13.5 Exceptions and administration

13.5.1 Either party may bring an eligible individual claim in an appropriate small claims court. Either may seek temporary relief from a court to protect information, property, or the effectiveness of arbitration while arbitration proceeds. Neither exception creates a general right to litigate covered claims. You may communicate with, complain to, or cooperate with any governmental or regulatory authority without notifying us or seeking permission.

13.5.2 If AAA declines administration because of Financial Gravity's failure to satisfy its requirements, you may pursue the claim in a court with jurisdiction. If AAA is otherwise unavailable, the parties may agree to a replacement administrator with equivalent consumer protections; absent agreement, either may proceed in court. If a restriction on class, representative, or public injunctive proceedings is unenforceable for a particular claim or remedy, that claim or remedy may proceed in court and will not be forced into class arbitration. Any stay of other proceedings will be determined under applicable law. Otherwise, an unenforceable part is severed and the remaining arbitration agreement continues to the extent lawful.

14. Texas law and court proceedings

14.1 Texas substantive law governs these Terms without applying its conflict-of-laws rules, subject to the Federal Arbitration Act and controlling federal law. This choice does not deprive you of protections of another jurisdiction that cannot lawfully be waived. For proceedings permitted in court, the parties consent to jurisdiction in state or federal courts in Texas having subject-matter jurisdiction, except where mandatory law or Section 13 permits or requires another forum. Nothing expands a court's subject-matter jurisdiction or restricts an appropriate small claims action or enforcement of an award where permitted by law.

15. General provisions and notices

15.1 These Terms constitute the agreement concerning portal use and supersede earlier portal-use terms, subject to Section 1 and the protections for existing disputes in Section 12. The Privacy Policy and the separate Service Providers and Subprocessors Addendum describe processing practices; neither expands the permissions granted by these Terms or overrides applicable institutional privacy notices. Applicable law and nonwaivable rights always control. No security whitepaper, help article, or marketing statement amends these Terms unless expressly incorporated, but this provision does not exclude a remedy for a misleading representation.

15.2 Neither party's delay in enforcing a right waives it. Except for Section 13's specific severability provisions, an unenforceable provision will be severed to the extent necessary without invalidating the remainder. You may not transfer your portal access or these Terms without our consent. We may assign these Terms in a merger, reorganization, or transfer of the relevant business if the successor assumes our obligations and the transfer is lawful. This provision does not authorize assignment of an advisory agreement or transfer of client information contrary to applicable restrictions.

15.3 For service issues, privacy requests, disputes, or notices to Financial Gravity under these Terms, contact clientsuccess@financialgravity.com and identify the nature of the request. A support notice does not replace legally required service of process or an AAA filing. We will provide notices to you through the contact information on file or other legally permitted methods. No contractual notice requirement prevents a timely filing to preserve a claim.

15.4 By selecting an unchecked acceptance box and activating a button expressly identifying agreement to these Terms, you intend to sign this agreement electronically. We will make the Terms available for review before acceptance and in a form you can retain or print. Your affirmative acceptance, together with our provision of access under these Terms, forms the agreement; a separate handwritten signature is not required. Merely visiting a page or receiving a link does not constitute acceptance. We may retain the accepted version, acceptance date and time, and related authentication records as evidence of the transaction, subject to applicable evidentiary rules. This paragraph does not establish consent to electronic delivery of other legally required records; Section 6 governs that distinction.

15.5 These Terms create no partnership, joint venture, employment, or agency relationship and confer no contractual enforcement rights on third parties unless expressly stated. This does not alter an existing advisory, fiduciary, or other relationship established by a separate agreement or law. Headings assist navigation and do not change the meaning of the provisions. “Including” introduces examples and does not limit a preceding general statement.

15.6 Neither party is responsible for a delay caused by an event beyond its reasonable control to the extent performance is actually prevented and reasonable mitigation is undertaken. This provision does not excuse required safeguards, incident response, legally required notices, protection of client assets or information, or other obligations that cannot lawfully be excused. An ordinary provider failure or shortage of funds does not by itself establish an excuse.

16. Artificial intelligence and automated tools

16.1 We may use artificial intelligence and other automated tools, including chatbots, to provide support, answer questions, locate and summarize information, assist with analysis and document preparation, and operate and secure Client Central. This Section also applies to other Financial Gravity platforms whose terms expressly incorporate it and are accepted by you, subject to their other terms, privacy notices, and financial-service agreements. Described features may not currently be available.

16.2 We will clearly identify a chatbot or other interactive AI assistant as artificial intelligence before you begin interacting with it and distinguish it from a human representative. Automated content may be generated from your inputs, authorized account information, and other permitted sources. An AI assistant is not a human adviser, and its responses do not themselves accept instructions, execute transactions, change an agreement, or establish a new professional relationship.

16.3 AI outputs can be inaccurate, incomplete, outdated, or inappropriate for your circumstances, even when they appear confident. Verify material information against source records and consult your professional advisers before relying on an output for a financial, tax, legal, or other consequential decision. General automated assistance is informational; personalized advice actually provided by your financial-service provider remains subject to its agreement and applicable duties. Except as required by law or a separate written agreement, we do not undertake human review of AI outputs or automated actions. Do not assume an output has human approval. Nonwaivable duties remain applicable.

16.4 Submit only information you are authorized to provide and that is reasonably needed for the feature. Do not enter passwords, verification codes, or unnecessary sensitive information. We and providers acting on our behalf may process inputs, outputs, and related technical records to deliver and support the feature, maintain security, and satisfy legal obligations, subject to Sections 7 and 8 and the applicable privacy notice. This Section does not itself grant permission to sell client information or use it to train a general-purpose AI model. Affiliate marketing is governed by the applicable privacy notices, consent requirements, and privacy elections. Any materially different processing requires the notice and authorization required by applicable law and the governing agreements.

16.5 Acceptance of these Terms does not by itself authorize an automated decision that requires separate notice, consent, or an opportunity to opt out under applicable law. Where an automated use gives rise to rights to information, correction, human review, or an opt-out, we will provide the required notices and means to exercise those rights. Contact clientsuccess@financialgravity.com for questions or to report inappropriate outputs. Contacting us does not create a right to human review beyond applicable law or a separate written agreement. Use your financial-service provider's established channel for time-sensitive instructions; a chatbot message does not constitute a trade or transfer instruction.

16.6 We may introduce, change, or discontinue AI features subject to Sections 10 and 12. We will provide any feature-specific disclosures and obtain any consent required before a new use begins. A description in these Terms does not replace a required notice at the point of interaction or collection, or authorize processing beyond the permissions applicable to the information.
